About this website

This website provides information about Closed Loop’s engineering and product design services and allows prospective clients to book introductory technical calls.

Information presented on this website is for general informational purposes only.

Nothing on this website constitutes an offer to enter into a contract. Any professional engagement with Closed Loop will be governed by a separate written agreement setting out the applicable scope, deliverables, fees, responsibilities, and terms.

Booking, rescheduling, and cancellation

Calls are scheduled using Cal.com, a third-party scheduling service.

When booking, please provide accurate contact and scheduling information.

You can reschedule or cancel a call using the links provided in your booking confirmation. Where possible, we ask that you provide at least 24 hours’ notice.

We may occasionally need to reschedule or cancel a call due to scheduling conflicts, illness, technical problems, or other circumstances. If this occurs, we will make reasonable efforts to offer an alternative time.

We are not responsible for failures or interruptions affecting third-party scheduling services, calendar invitations, video conferencing services, internet connections, or other systems outside our reasonable control.

We reserve the right to decline or cancel a booking, including in cases of repeated no-shows, inappropriate use of the booking system, or where we determine that a call would not be productive.

Purpose and scope of introductory calls

Introductory and technical intake calls are preliminary discussions.

Their purpose is to understand your project, discuss your requirements at a high level, and determine whether a potential engagement with Closed Loop may be appropriate.

Any comments, observations, suggestions, estimates, or technical discussions during an introductory call are based on limited information and are preliminary in nature.

They do not constitute an engineering deliverable, design approval, professional opinion, certification, or other advice that should be relied upon for design, manufacturing, purchasing, compliance, investment, or business decisions.

You should not make material technical or commercial decisions solely on the basis of information provided during an introductory call.

Booking or attending a call does not create a contract, client relationship, professional engagement, fiduciary relationship, or other obligation between you and Closed Loop.

An engagement begins only when the relevant parties enter into a separate written agreement.

Confidential information

Please do not disclose trade secrets, proprietary technical information, export-controlled information, or other highly sensitive or confidential information before appropriate confidentiality arrangements are in place.

We treat information shared with us with professional discretion. However, information disclosed through this website or during an introductory call is not subject to contractual confidentiality obligations unless those obligations are established in a separate written agreement, such as a non-disclosure agreement.

Intellectual property

Unless otherwise stated, the text, graphics, illustrations, images, videos, branding, and other content on this website are owned by Closed Loop or used by us with permission.

You may view and use the website for your own legitimate informational purposes.

You may not reproduce, republish, distribute, modify, commercially exploit, or otherwise reuse website content without prior written permission from Closed Loop or the relevant rights holder.

Limitation of liability

To the maximum extent permitted by applicable law, Closed Loop will not be liable for any indirect, incidental, special, consequential, or similar damages arising out of or relating to:

  • scheduling errors, cancellations, missed calls, or failed calls;

  • failures of third-party services or internet connections;

  • loss of profits, revenue, data, opportunity, or business; or

  • reliance on preliminary information discussed during an introductory call.

To the maximum extent permitted by applicable law, Closed Loop’s total aggregate liability for any claim arising from or relating to this website or an introductory call will not exceed CAD $100.

Nothing in these terms excludes or limits liability where such liability cannot lawfully be excluded or limited.

These terms are governed by the laws of British Columbia and the applicable federal laws of Canada.

Any dispute arising out of or relating to these terms, the website, or an introductory call will be subject to the jurisdiction of the courts of British Columbia, except where applicable law requires otherwise.
